Terms of Service

These Terms of Service ("Terms") are between Agentics Technologies LLC ("Agentics," "we") and you. They cover your use of Agentics: shared memory for AI agents, with rules, approvals and receipts. That includes the memory API at /v1, the MCP connection at /mcp, the console, and our documentation ("Services"). By creating an account or using the Services you accept these Terms and the Acceptable Use Policy, which is part of them. If your organization has signed a Master Service Agreement (/legal/msa.html) or Data Processing Addendum (/legal/dpa/) with us, those documents win wherever they conflict with these Terms.

• Memory. Your agents save memories and search them. The memories you store are shared between the agents you connect to the same workspace.
• Rules and approvals. You set rules for what your agents may do. A rule can send an action to a person for approval before it runs. Pause all holds your agents' actions that go through Agentics until you turn it off.
• Receipts. An action can leave a receipt. Anyone with the receipt link can check it without an account.
• You choose which agents, models and tools you connect. Agentics does not provide the model, and we are not responsible for what a model or another service you connect produces.

• Provide accurate account information and keep it current.
• You are responsible for activity under your account, your API keys and the agents you connect. Keep keys secret, give them only the access they need, rotate them if you suspect exposure, and tell us promptly at /contact/?topic=security if a key or account is compromised.
• Don't share credentials or pretend to be someone else. You must be allowed to act for the organization you sign up for.

Use the Services only as the Acceptable Use Policy allows. In short: don't store data you have no right to process, don't use the Services to break the law or harm others, don't try to get around rules, approvals, limits or the separation between customers, and don't use receipts to misrepresent what happened. We may suspend access that threatens the Services or other customers. When we do, we tell you why and what is needed to restore access as soon as we practically can.

• Your data is yours. We process it only to provide the Services, prevent abuse, and comply with law. We never train or fine-tune machine-learning models on your memories, prompts, outputs, or receipts.
• To make memories searchable we send memory text and search text to the service providers listed on our subprocessors page. How we handle personal data is in the Privacy page.
• You can export your data and delete memories at any time. A receipt keeps its hash after its text is cleared, so it can still be checked. A hash that was written to a public blockchain cannot be removed. Receipt text is never written there.

You stay responsible for what your agents do and for the rules you set. A rule, an approval step or Pause lowers risk; it does not promise that an agent will never take an unwanted action, or that a memory is correct. A receipt shows what was recorded and that the record has not been changed since. It does not show that the action was right.

• Plans, limits and prices are listed on /pricing. Paid plans are billed through Stripe. We do not store card numbers.
• Agentics does not hold or move money for you. Payments between agents (x402) run on a test network only: no real money moves, and we do not offer them as a paid service.
• The Agent Bond, pay-later, vault deposits and seller payouts are not offered. The Bond terms and Seller terms stay published for people who accepted them earlier.

Features we label as experimental are provided as-is, may change or be withdrawn without notice, may have reduced or no support and no service levels, and should not carry production workloads unless we say otherwise in writing. Feedback you give us on experimental features may be used to improve the Services without obligation to you. This never extends to your data itself (Section 5).

• The Services, our software, documentation, and marks are Agentics IP. We grant you a limited, non-exclusive, non-transferable right to use them during your subscription. No other rights are granted.
• You may not copy, reverse-engineer (except where law permits), resell, or white-label the Services without a written agreement such as the Partner Platform Agreement (/legal/partner-agreement.html).

Except as expressly stated in a signed agreement, the Services are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free, that search will return every relevant memory, or that the output of a model or tool you connect is accurate or fit for your purpose. Agentics does not hold SOC 2, ISO 27001 or any other security certification, and no independent audit of Agentics has been done. Certifications named on our subprocessors page belong to those companies, not to Agentics.

Each party's total aggregate liability under these Terms is capped at the fees you paid to Agentics in the 12 months before the event giving rise to the claim (or US $100 if you paid no fees). Neither party is liable for indirect, incidental, consequential, or punitive damages, or lost profits or data, even if advised of the possibility. Nothing limits liability that cannot be limited by law.

• You may stop using the Services and delete your account at any time; export your data first. We may terminate for uncured material breach after 30 days' written notice, or suspend immediately for the situations in Section 4.
• We give at least 30 days' notice of material changes to these Terms; continued use after the effective date is acceptance. We won't retroactively reduce your data rights. Each version of these Terms has a version number and an effective date, and earlier versions stay published.
• These Terms are governed by the laws of the State of Delaware, with exclusive venue in Delaware courts.
• Order of precedence when signed documents exist: Order Form, then DPA, then MSA, then these Terms.
