Terms of Service
The rules for using Agentics without an executed enterprise agreement. Last updated July 8, 2026.
These Terms of Service ("Terms") are between Agentics Technologies LLC ("Agentics," "we") and you, and govern your use of the Agentics platform — the governance gateway, console, ledger, and related services ("Services"). By creating an account or using the Services you accept these Terms. If your organization has executed a Master Service Agreement (/legal/msa.html) and/or Data Processing Addendum (/legal/dpa/), those documents supersede these Terms wherever they conflict.
- Provide accurate account information and keep it current.
- You are responsible for activity under your account and API keys. Keep keys secret, scope them minimally, rotate them if you suspect exposure, and tell us promptly at /contact/?topic=security if a key or account is compromised.
- Don't share credentials or impersonate others. You must be authorized to bind the organization you sign up for.
- Don't submit data you don't have the right to process.
- Don't use receipts, badges, or ledger entries to misrepresent your own or a third party's activity.
- Don't attempt to bypass policy enforcement, tenant isolation, rate limits, or budgets, or to re-identify Bureau aggregates.
- Don't probe, scan, or load-test the platform without prior written coordination.
- Don't use the Services to violate law or third-party rights, or to build a directly competing receipt-forgery or governance-evasion tool.
- We may suspend access that threatens the platform or other customers, with notice and restoration criteria as soon as practical.
Features marked beta, preview, or experimental are provided as-is, may change or be withdrawn without notice, may have reduced or no support and no service levels, and should not carry production workloads unless we say otherwise in writing. Feedback you give us on beta features may be used to improve the Services without obligation to you — this never extends to your data itself (Section 5).
- Your data is yours. We process it only to provide the Services, prevent abuse, and comply with law. We never train or fine-tune machine-learning models on your prompts, outputs, or receipts. You can export your data at any time.
- The Services, our software, documentation, and marks are Agentics IP. We grant you a limited, non-exclusive, non-transferable right to use them during your subscription. No other rights are granted.
- You may not copy, reverse-engineer (except where law permits), resell, or white-label the Services without a written agreement such as the Partner Platform Agreement (/legal/partner-agreement.html).
Except as expressly stated in an executed agreement, the Services are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free, or that model outputs routed through the gateway are accurate or fit for your purpose — model outputs are produced by the providers you route to, under your policies. A SOC 2 Type II examination is in progress; we do not claim certification until the report is issued.
Each party's total aggregate liability under these Terms is capped at the fees you paid to Agentics in the 12 months before the event giving rise to the claim (or US $100 if you paid no fees). Neither party is liable for indirect, incidental, consequential, or punitive damages, or lost profits or data, even if advised of the possibility. Nothing limits liability that cannot be limited by law.
- You may stop using the Services and delete your account at any time; export your data first. We may terminate for uncured material breach after 30 days' written notice, or suspend immediately for the situations in Section 3.
- We give at least 30 days' notice of material changes to these Terms; continued use after the effective date is acceptance. We won't retroactively reduce your data rights.
- These Terms are governed by the laws of the State of Delaware, with exclusive venue in Delaware courts.
- Order of precedence when executed documents exist: Order Form, then DPA, then MSA, then these Terms.
