1. Services

Agentics provides AI agent implementation and management services for businesses. Our services include workflow analysis, custom AI agent development, integration with existing systems, and ongoing optimization and support.

2. Eligibility

Our services are intended for business use. By using our services, you represent that you are at least 18 years old and have the authority to enter into these terms on behalf of yourself or the organization you represent.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Grant appropriate access to systems and tools required for implementation
• Respond to requests for information or approval in a timely manner
• Use the services in compliance with all applicable laws and regulations
• Pay all fees according to the agreed payment terms

4. Service Delivery

We will use commercially reasonable efforts to deliver services as described in your service agreement. Timelines and deliverables will be outlined in individual project proposals or statements of work.

5. Intellectual Property

Upon full payment, you own the custom AI agent configurations and workflows we create specifically for your business. We retain ownership of our underlying methodologies, frameworks, and proprietary tools. You grant us permission to use anonymized results as case studies unless otherwise specified in your agreement.

6. Confidentiality

We will maintain the confidentiality of your business information, data, and proprietary processes. We will not disclose confidential information to third parties except as necessary to provide our services or as required by law.

7. Data Protection

We handle all data in accordance with our Privacy Policy. You are responsible for ensuring that any data you provide to us has been collected in compliance with applicable data protection laws.

8. Payment Terms

Payment terms are specified in individual service agreements. Unless otherwise stated:

• Implementation fees are due according to the milestone schedule in your agreement
• Monthly management fees are billed at the beginning of each month
• Late payments may incur interest at 1.5% per month

9. Limitation of Liability

To the maximum extent permitted by law, Agentics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, or data. Our total liability shall not exceed the amounts paid by you for services in the twelve months preceding the claim.

10. Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind, either express or implied. While we strive for excellence, we do not guarantee specific results, cost savings, or business outcomes.

11. Termination

Either party may terminate services with 30 days written notice. Upon termination, you remain responsible for payment of services rendered. We will provide reasonable assistance in transitioning services.

12. Modifications

We may update these terms from time to time. Continued use of our services after changes constitutes acceptance of the modified terms.

13. Governing Law

These terms shall be governed by the laws of the State of California, without regard to conflict of law principles.
